Counsel – Contracts

Job Summary
The counsel position will report to the Managing Counsel and will work closely with other legal leaders, senior counsel, and team members to provide legal services, support and advice on complex and routine transactional matters involving the enterprise, care delivery system, and health plan.

Essential Functions

+ Draft, review, and negotiate high volume of commercial agreements, including health system-specific supply chain agreements, which involve the purchase of both products (e.g. medical devices, equipment, disposables) and services.


+ Provide counsel to enterprise-level supply chain leaders on key commercial terms, including pricing methodologies, rebates and incentives, delivery terms, warranties, indemnification, limitation of liability, insurance, confidentiality, intellectual property ownership/licensing, and audit rights.
